More than a week after the demise of Sona Comstar’s chairman, Sunjay Kapur, the auto component company has designated Jeffrey Mark Overly as the new Chairperson. This decision was reached during the Board of Directors meeting held on Monday, 23rd June, 2025. Jeffrey Mark Overly has served as an Independent Director of the company since 12 February, 2021.
In a notification to the stock exchanges, the company stated, “Overly has been a member of the board for nearly five years and has maintained an impeccable attendance record (100 percent) at all Board and Committee meetings during his tenure, making substantial contributions to the discussions and decision-making processes of the Board and its committees, even while being in a different time zone.”
Moreover, in acknowledgment of his unmatched contributions and lasting influence, the Board of Directors unanimously appointed the late Sunjay Kapur as Chairman Emeritus of the Company. Following the recommendation of the Nomination and Remuneration Committee (NRC), the Board of Directors also sanctioned the appointment of Priya Sachdev Kapur — the wife of Sunjay Kapur — as an Additional Non-Executive Director of the Company, pending approval from the shareholders of the Company.
Overly’s extensive experience in various board-level roles equips him effectively to guide future governance and strategic initiatives.
